General

These Terms of Service ("Terms") govern your access to and use of FlowSystem AI LLC's website, products, and services, which are offered under the FlowSystem AI brand (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

For purposes of these Terms, "FlowSystem AI," "we," "our," and "us" mean FlowSystem AI LLC.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by FlowSystem AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and ordinarily permitted through the Services according to these Terms.

User Submissions

You retain ownership of any content you submit to our Services ("User Content"). However, by submitting User Content, you grant FlowSystem AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license granted above, and that all of your User Content does and will comply with these Terms.

Prohibited Uses

You may not use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate FlowSystem AI, a FlowSystem AI employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. FLOWSYSTEM AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FlowSystem AI makes no warranty that the Services will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that the results that may be obtained from the use of the Services will be accurate or reliable.

No advice or information, whether oral or written, obtained from FlowSystem AI or through the Services will create any warranty not expressly made herein.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLOWSYSTEM AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless FlowSystem AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Payment Terms

All fees are stated in U.S. dollars. You agree to pay all fees associated with your subscription or purchase in accordance with the billing terms presented to you at checkout, in an order form, or in another written offer provided by FlowSystem AI.

Unless a specific refund right, trial term, cancellation term, or guarantee is expressly stated in the applicable checkout flow, order form, or separate written offer, fees are non-refundable to the fullest extent permitted by law.

If you fail to pay any fees when due, we may suspend or terminate your access to the Services until payment is made.

Trials, Guarantees, and Promotions

FlowSystem AI may offer trials, promotional pricing, conditional guarantees, or other limited offers for certain Services. Those offers are subject to these Terms plus any additional eligibility criteria, deadlines, cancellation requirements, usage conditions, or written terms provided with the offer.

If there is a conflict between these general Terms and a specific written offer or checkout term that applies to your purchase, the specific written offer or checkout term will control for that offer to the extent of the conflict.

Communications and Call Recording

By submitting your contact information, booking a call, starting a trial, making a purchase, or otherwise interacting with the Services, you consent to receive communications from us relating to your inquiry, account, transactions, and use of the Services, subject to applicable law.

You are responsible for obtaining any legally required consent before uploading contacts, initiating communications, or using any calling, texting, voicemail, automation, or similar workflow through the Services. Calls or messages involving FlowSystem AI may be monitored, logged, recorded, or transcribed where permitted by law.

No Guarantees of Results

While FlowSystem AI strives to provide high-quality services and support, we make no guarantees regarding specific outcomes, results, or performance metrics. Any case studies, testimonials, or examples of results are illustrative only and should not be interpreted as a guarantee that you will achieve similar results.

Your success depends on many factors including but not limited to your effort, business model, market conditions, and proper implementation of our Services.

Chargebacks and Payment Disputes

If you believe a charge was made in error, you agree to contact FlowSystem AI first and give us a reasonable opportunity to review and attempt to resolve the issue before initiating a chargeback or payment dispute.

  • We may suspend access to affected Services while a material payment dispute remains unresolved
  • We reserve the right to contest chargebacks or payment disputes that we believe are inaccurate or improper
  • You remain responsible for amounts lawfully owed under these Terms

We reserve the right to pursue available remedies in the event of fraud or non-payment, subject to applicable law.

Good Faith Dispute Resolution

Before filing a formal claim relating to the Services, each party agrees to attempt in good faith to resolve the dispute by providing written notice and a reasonable opportunity for informal discussion, except where immediate injunctive or other emergency relief is necessary.

Digital Millennium Copyright Act

FlowSystem AI respects the intellectual property rights of others. If you believe that any content on our Services infringes your copyright, please contact us at legal@flowsystem.ai with the following information:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing
  • Your contact information
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information in the notification is accurate
  • Your physical or electronic signature

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without FlowSystem AI's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. FlowSystem AI may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You and FlowSystem AI agree that any arbitration shall be limited to the dispute between you and FlowSystem AI individually. To the full extent permitted by law, no arbitration shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity.

Governing Law

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the United States and the State of South Carolina, without giving effect to any choice or conflict of law provision or rule.

Waiver and Severability

No waiver by FlowSystem AI of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FlowSystem AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, the other provisions of these Terms will remain in full force and effect.

Entire Agreement

These Terms, our Privacy Policy, and any other terms expressly incorporated by reference constitute the sole and entire agreement between you and FlowSystem AI regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
